These Terms of Service (“Terms”, “Agreement”) govern your access to and use of our website (xwireharness.com) and any related services, including the purchase of our wire harness products and accessories (“Products”). Please read these Terms carefully before using our site or placing any orders.
By accessing or using the website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you should discontinue use of our website and services.
Orders and Acceptance
All orders are subject to acceptance by X Wire Harness. We may decline or cancel any order for reasons including, but not limited to: product unavailability, pricing errors, or suspected fraudulent activity.
An order is considered accepted only when you receive a written confirmation (e.g., purchase order acknowledgment or email confirmation) from X Wire Harness.
Prices and Payment
Buyer shall purchase the Goods from Seller at the price(s) quoted by Seller or as otherwise agreed between Buyer and Seller in writing (the “Price”). If the Seller notifies the Buyer in writing of a price adjustment prior to shipment, the Buyer agrees that the updated price shall apply to the Order, unless otherwise agreed in writing.
All Prices are exclusive of all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any Governmental Authority on any amounts payable by Buyer. Buyer shall be responsible for all such charges, costs and taxes; provided, that, Buyer shall not be responsible for any taxes imposed on, or with respect to, Seller’s income, revenues, gross receipts, personnel or real or personal property or other assets.
All payments shall be made in full, without set-off or deduction, unless otherwise required by law.
Delivery, Shipment, and Risk Transfer
Delivery timelines are estimates and not guaranteed. Delays may occur due to factors beyond our control such as customs clearance, transportation issues, or material shortages. Risk of loss or damage passes to the customer once the goods are handed over to the carrier or shipping agent.
Inspection and Acceptance
Any hidden defects discovered after the inspection period must be notified immediately upon discovery. If no claim is received within the inspection period, the products are deemed accepted.
Limitation of Liability
To the maximum extent permitted by applicable law, X Wire Harness shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profit, business interruption, or data loss.
In all cases, X Wire Harness’s total liability shall not exceed the purchase price of the specific Product giving rise to the claim.
Confidentiality
Any technical, business, or commercial information exchanged between the parties shall be treated as confidential.
Neither party shall disclose such information to any third party without prior written consent, except as required by law.
Termination
X Wire Harness reserves the right to terminate or suspend the provision of Products or Services if the Customer:
- Fails to make payment when due;
- Breaches any term of this Agreement; or
- Engages in unlawful or abusive activities related to our website or services.
Upon termination, all outstanding payments become immediately due.
Force Majeure
X Wire Harness shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, wars, government restrictions, strikes, or transportation disruptions. In such cases, obligations may be suspended for the duration of the event.
Modifications to Terms
X Wire Harness reserves the right to update or modify these Terms at any time without prior notice.
Any changes will take effect immediately upon posting on the website. Your continued use of the website or purchase of products after such changes constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising under or in connection with these Terms shall first be settled amicably through negotiation.
